These Master Terms of Service (the “Terms”) govern access to and use of the Snap Voyagers platform, including all websites, applications, and related services (collectively, the “Platform”), operated by VTX, LLC, a Texas limited liability company doing business as Snap Voyagers (“Snap Voyagers,” “we,” “us,” or “our”).
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.
1. Acceptance; Parties
These Terms of Service (the "Terms") govern access to and use of the Snap Voyagers online marketplace and related services (the "Platform"), operated by VTX, LLC, a Texas limited liability company, doing business as Snap Voyagers ("Snap Voyagers", "we", "us", or "our").
By accessing or using the Platform, creating an account, submitting a listing for, booking a Journey, or publishing/leading a Journey, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, do not use the Platform. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case “you” or “your” will refer to that entity.
These Terms apply to (a) individuals booking or participating in a Journey ("Travelers") and (b) individuals or entities publishing and/or leading Journeys ("Group Leaders"). Travelers and Group Leaders are collectively "Users."
2. Definitions
- "Booking" means the act by which a Traveler selects and purchases a Journey through the Platform.
- "Escrowed Funds" means Traveler payments collected through the Platform that are held and disbursed pursuant to these Terms and applicable Journey rules.
- "Group Leader" means an individual or entity that lists, markets, and/or operates a Journey through the Platform as an independent business. Group Leaders are independent third‑party contractors and are not employees, agents, partners, joint venturers, or fiduciaries of Snap Voyagers.
- "Journey" means a photography trip, itinerary, workshop, or experience listed on the Platform and owned and operated by an independent Group Leader.
- "Journey Cancellation Terms" means the Journey‑specific cancellation and refund rules published on the Platform at the time of Booking.
- "Platform" means the Snap Voyagers online marketplace, including its website, any associated mobile applications, and related services, content, and technology provided by Snap Voyagers.
- "Third‑Party Providers" means airlines, hotels, transport operators, guides, venues, permit issuers, and any other third party involved in a Journey; such Third‑Party Providers are typically sourced or contracted by a Group Leader (or its operator entity), and not by Snap Voyagers.
- "Traveler" means an individual who inquires about, books, or participates in a Journey listed on the Platform.
- "User" means any person or entity that accesses or uses the Platform, including Travelers and Group Leaders.
- "User Content" includes photos, videos, text, reviews, itineraries, listings, and other content or communications posted, uploaded, or submitted to the Platform by a User.
3. Marketplace Role; Non‑Operator Status
Snap Voyagers operates solely as an online marketplace and payment facilitator that provides a neutral technology platform for Group Leaders and Travelers to connect. Snap Voyagers does not own, operate, control, manage, or provide Journeys and is not a tour operator, travel agency, outfitter, guide service, or common carrier. Snap Voyagers does not act as an agent for any Traveler in any capacity. This means Snap Voyagers does not select or vet third-party suppliers, negotiate rates on behalf of any User, or control on-the-ground operational decisions, all of which are the sole responsibility of the Group Leader.
Each Journey is owned and operated exclusively by an independent Group Leader. The Traveler’s contract for the Journey is between the Traveler and the applicable Group Leader (and/or any Operator entity the Group Leader uses), subject to these Terms. Group Leaders may also require Travelers to agree to separate operator or participant terms for specific Journeys. Our provision of the Platform does not constitute an endorsement, certification, or guarantee of any User or Journey.
4. Eligibility; Accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform. You agree to provide accurate, current, and complete account information and to maintain the security of your credentials. You are responsible for all activity under your account.
4.1 Electronic Communications; E-Sign
By using the Platform, you consent to receive communications from Snap Voyagers electronically (including by email, in-product notices, and messages). You agree that electronic communications and signatures satisfy any legal requirements for written communications, unless applicable law requires a different form.
5. Journey Listings; Pricing Review
5.1 Listing Accuracy; No Misleading Disclosures
As a Group Leader, you are solely responsible for all content in your Journey listings, and you represent and warrant that all such listings, descriptions, photos, inclusions/exclusions, pricing, add‑ons, physical and skill requirements, and cancellation terms are and will remain truthful, accurate, complete, and not misleading at the time they are published and as updated over time. You agree to promptly update your listings to correct any inaccuracies or material changes. These obligations apply in addition to your profile responsibilities described in Section 5.2 (Group Leader Profiles; Experience and Credentials).
Without limiting the foregoing, Group Leaders must not:
- Misstate what is included or excluded;
- Conceal material restrictions or fees;
- Use deceptive “starting at” pricing that is not reasonably attainable;
- Exaggerate leader credentials, certifications, permits, or experience;
- Misrepresent safety conditions, required fitness, or the nature of activities; or
- Use photos or testimonials in a way that creates a misleading impression about what Travelers should expect.
Snap Voyagers may require Group Leaders to make reasonable disclosures and updates to maintain listing accuracy, and may require you to provide reasonable documentation of any stated credentials, permits, or insurance.
5.2 Group Leader Profiles; Experience and Credentials
The Platform may allow Group Leaders to create public profiles describing their background, experience, qualifications, certifications, permits, portfolio, and prior work history (including information similar to a professional résumé or profile).
Group Leaders are solely responsible for ensuring that all profile information is accurate, current, complete, and not misleading. Snap Voyagers does not independently verify credentials, certifications, licenses, permits, or experience unless expressly stated, and makes no representations or warranties regarding a Group Leader’s qualifications or fitness.
Travelers acknowledge that Group Leader profiles are provided for informational purposes only and should not be relied upon as guarantees of performance, safety, outcomes, or expertise. Snap Voyagers may remove, edit, or require updates to profiles that are inaccurate, misleading, or inconsistent with Platform policies.
Group Leaders control Journey design, pricing, availability, and operations. We may conduct a pricing review as a marketplace safeguard to promote transparency and help ensure disclosed costs are covered and Travelers can be reimbursed if a Group Leader cancels prior to commencement. Pricing review does not constitute approval of operations or assumption of responsibility by Snap Voyagers.
5.3. Listing Prohibitions
Without limiting the foregoing representations and warranties, Group Leaders must not post any Journey listing or related promotional content that:
- Misstates or conceals what is included or excluded from a Journey, or hides material restrictions, costs, or fees;
- Uses deceptive “starting at” pricing that is not reasonably attainable for a typical booking;
- Exaggerates or falsifies leader credentials, certifications, permits, insurance coverage, or experience. Upon our request, you agree to provide proof of any such credential, coverage, or authorization;
- Misrepresents safety conditions, required fitness levels, the nature of activities, or the level of risk involved;
- Uses photos, videos, or testimonials in a way that creates a false or misleading impression about the Journey experience; or
- Fails to accurately identify the legal entity or individual operating the Journey.
5.4. Platform’s Right to Review and Take Action
While Snap Voyagers has no obligation to monitor or review listings or profiles, we reserve the right, in our sole discretion, to review listings and profiles and require Group Leaders to make reasonable disclosures and updates to maintain accuracy, and to remove or correct listings or profiles, suspend or terminate accounts, delay or withhold payouts, or cancel bookings if we determine that a listing or profile is materially inaccurate, misleading, incomplete, out of date, or otherwise in violation of these Terms. These marketplace actions are administrative safeguards only and do not create operator status (see Section 3) or alter the allocation of responsibilities under these Terms.
6. Bookings; Payments; Escrowed Funds
When a Traveler books a Journey, Traveler authorizes Snap Voyagers (through third‑party payment processors) to charge the payment method on file for the total amount shown at checkout, including the Journey price, any applicable taxes, and any other fees displayed (the "Total Price").
Traveler payments collected via the Platform are held as Escrowed Funds and may be disbursed to the Group Leader only in accordance with applicable payout milestones or release rules, as set forth in the Platform and the Group Leader Terms.
7. Payment Agency; Limited Collection Authority
Appointment as payment agent. Each Group Leader appoints Snap Voyagers as the Group Leader’s limited payment collection agent solely for the purpose of collecting the Total Price (or other amounts due for the Booking) from Travelers for that Group Leader’s Journeys. Each Group Leader agrees that a Traveler’s payment to Snap Voyagers for a Journey shall be considered the same as a payment made directly to the Group Leader. The Traveler’s payment obligation to the Group Leader for the agreed‑upon amount is extinguished upon receipt of payment by Snap Voyagers, and Snap Voyagers is responsible for remitting the funds to the Group Leader in accordance with these Terms and the applicable Journey Cancellation Terms. In the event that Snap Voyagers does not remit any such amounts, the Group Leader will have recourse only against Snap Voyagers and not the Traveler.
7.1 Payment Disputes; Chargebacks
If a Traveler initiates a payment dispute or chargeback, Snap Voyagers has the right, in its soled discretion, to place related Escrowed Funds on hold, delay payouts, and request supporting documentation from the Group Leader, and/or apply Escrowed Funds to resolve the dispute. The Group Leader agrees to cooperate in good faith and provide any requested information or documentation within five (5) business days. Where permitted, Snap Voyagers may debit, offset, or claw back amounts from future payouts to cover chargebacks, reversals, dispute fees, or refunds.
8. Cancellations; Refunds; Credits
Each Journey is governed by Journey Cancellation Terms published at booking. Refund eligibility, timing, amount, and form (refund, partial refund, credit, or no refund) are governed solely by the applicable Journey Cancellation Terms. Snap Voyagers’ role is to facilitate any applicable refund from available Escrowed Funds in accordance with the Group Leader’s instructions and published Journey Cancellation Terms. Snap Voyagers has no independent obligation to issue refunds from its own corporate funds or beyond the amount of available Escrowed Funds.
Refunds are not guaranteed and may be limited to credits depending on the applicable Journey Cancellation Terms and the refundability of Third‑Party Provider components. Snap Voyagers facilitates any applicable refunds or credits only from available Escrowed Funds in accordance with the applicable Journey Cancellation Terms and has no obligation to issue refunds or credits from its own corporate funds.
8.1 Force Majeure; Disruptions
Journeys may be disrupted by events beyond any party’s reasonable control (e.g., severe weather, natural disasters, civil unrest, public health events, governmental actions, strikes, transportation disruptions, supplier failures, or closures) (a “Force Majeure Event”). In such cases, refunds and credits remain governed by the applicable Journey Cancellation Terms and the refundability of Third-Party Provider components and may be limited to available Escrowed Funds. Snap Voyagers does not guarantee refunds beyond available Escrowed Funds and, to the maximum extent permitted by law, is not liable for any Journey cancellations, delays, or interruptions caused by a Force Majeure Event.
9. Traveler Terms
9.1 Assumption of risk.
Travel and outdoor activities involve inherent risks. Traveler knowingly and voluntarily assumes all risks associated with participation.9.2 Traveler responsibilities.
Traveler is responsible for passports/visas, medical considerations, insurance, equipment, and compliance with laws and Group Leader instructions.9.3 Conduct.
Disruptive or dangerous conduct may result in removal by the operator/leader without refund except as required by law.10. Group Leader Terms
10.1 Independent contractor.
Group Leaders act solely as independent contractors and are not employees, agents, partners, joint venturers, or fiduciaries of Snap Voyagers.10.2 Ownership and responsibility.
Group Leaders retain sole responsibility for designing, pricing, publishing, and operating each Journey and ensuring compliance with laws and safety requirements.10.3 Administrative bookings authorization.
Group Leaders authorize Snap Voyagers, as an administrative convenience and traveler‑protection measure, to reserve or purchase itinerary components on the Group Leader’s behalf using Escrowed Funds. These actions are administrative only and do not transfer operational control or make Snap Voyagers an operator.11. Group Leader Insurance Requirements
Group Leaders are responsible for maintaining appropriate insurance for their Journeys. Minimum requirements may be required as a condition of listing or payout. Unless otherwise stated in writing by Snap Voyagers, Group Leaders must maintain commercially reasonable coverage such as: CGL, professional/guide liability (if applicable), hired & non‑owned auto liability (if applicable), workers’ compensation where required, umbrella/excess where prudent, and any legally required local coverages.
12. Subscription Plans; Marketplace Fees; Payout Milestones
Snap Voyagers may offer Group Leaders multiple subscription tiers (“Leader Plans”), each with different marketplace fees and payout milestone structures. The then-current options will be disclosed prior to enrollment and within the Group Leader’s account.
12.1 Marketplace Fees by Subscription Tier
By way of example only (subject to change and disclosure at enrollment), marketplace fees may include:
- Free / Pay-As-You-Go Tier: up to 20% of Traveler payments.
- Mid Tier Subscription: up to 15% of Traveler payments.
- High Tier Subscription: up to 10% of Traveler payments.
12.2 Escrowed Funds; Net Earnings
For purposes of payout milestones, “Net Earnings” means Traveler payments actually received for a Journey minus (a) the applicable marketplace fee, (b) payment processing fees, and (c) amounts applied to covered Journey expenses paid from Escrowed Funds (such as lodging, admissions, or ground transportation arranged on behalf of the Group Leader).
12.3 Payout Milestones by Subscription Tier
Subject to successful performance of the Journey and compliance with these Terms, Escrowed Funds may be released to Group Leaders in milestone-based installments. By way of example only:
- Free / Pay-As-You-Go Tier (20% fee):
- 20% of Net Earnings upon meeting Travelers at the Journey destination;
- 40% of Net Earnings upon completion of approximately half of the Journey;
- 40% of Net Earnings upon completion of the Journey.
- Mid Tier Subscription (15% fee):
- 30% of Net Earnings upon meeting Travelers at the Journey destination;
- 30% of Net Earnings upon completion of approximately half of the Journey;
- 40% of Net Earnings upon completion of the Journey.
- High Tier Subscription (10% fee):
- 40% of Net Earnings upon meeting Travelers at the Journey destination;
- 30% of Net Earnings upon completion of approximately half of the Journey;
- 30% of Net Earnings upon completion of the Journey.
12.4 Conditions; Adjustments; Discretion
Payout milestones are subject to (a) successful completion of the applicable milestone, (b) absence of unresolved Traveler disputes, safety issues, or material breaches, and (c) sufficient Escrowed Funds remaining after refunds, credits, or chargebacks.
Snap Voyagers may delay, adjust, withhold, or claw back payouts as permitted by these Terms for cancellations, Traveler refunds, Journey failures, policy violations, or suspected fraud. Milestone structures may be modified prospectively with notice and do not create an obligation to advance Snap Voyagers’ own funds.
13. Templates; Waivers; Medical Forms (Convenience Only)
Snap Voyagers may provide optional templates, sample operator agreements, waivers, releases, and medical/emergency forms (“Templates”) as an administrative convenience only. Templates are provided “AS IS” and do not constitute legal, medical, or regulatory advice. Operators/Group Leaders remain solely responsible for compliance and enforceability. Snap Voyagers may facilitate delivery/signature/storage of completed forms as an administrative convenience only and does not assume operator liability.
14. User Content; Intellectual Property
Platform IP. The Platform and all of its original content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) excluding User Content (collectively, the "Platform IP") are owned by Snap Voyagers, our licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. User Content is owned by the User who provides it, subject to the license granted in Section 10.2. These Terms permit you to use the Platform for your personal, non-commercial use only (if a Traveler) or for your commercial use in listing and managing Journeys (if a Group Leader).
Snap Voyagers and its licensors own the Platform and all related IP, excluding User Content. These Terms grant you a limited, non-transferable license to use the Platform for your personal, non-commercial use only (if you are a Traveler), or for your commercial use limited to listing and managing Journeys (if you are a Group Leader). You acquire no ownership rights in the Platform IP by using the Platform.
User Content license. When you post, upload, or otherwise provide User Content on or through the Platform, you grant Snap Voyagers a worldwide, non‑exclusive, perpetual, irrevocable, royalty‑free, fully paid, transferable, and sublicensable license to host, store, reproduce, distribute, publicly display, publicly perform, adapt (for formatting), translate, and create derivative works of such User Content solely to operate, improve, market, and promote the Platform and Journeys, provide support, and enforce policies. This license is in addition to any other permissions you may grant us in connection with specific features of the Platform and survives any termination of your account or these Terms. Nothing in these Terms is intended to restrict your own rights to use or exploit your User Content.
Feedback If you provide us with any ideas, proposals, suggestions, or other feedback relating to the Platform or our services ("Feedback"), you acknowledge and agree that Snap Voyagers is free to use such Feedback in any way without restriction or obligation to you. You hereby grant Snap Voyagers a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly perform, publicly display, and otherwise exploit such Feedback for any purpose, commercial or otherwise, without any compensation to you. If you provide us with any Feedback, whether related to new products, technologies, promotions, product names, or product improvements, you grant Snap Voyagers a worldwide, royalty-free, perpetual, and irrevocable license to use, reproduce, modify, and otherwise exploit such Feedback for any purpose, without any compensation to you or any other obligation.
14.1 Copyright and IP Complaints (DMCA)
If you believe content on the Platform infringes your copyright or other intellectual property rights, you may submit a notice to [DMCA / IP EMAIL] with sufficient information to identify the work and the allegedly infringing material and to allow us to contact you. We may remove or disable access to content and may terminate repeat infringers where appropriate.
We respect the intellectual property rights of others. If you believe that any User Content on the Platform infringes your copyright, please send a notice of copyright infringement to our designated Copyright Agent at [DMCA / IP EMAIL] that includes the following information:
- A physical or electronic signature of a person authorized to act on behalf of the owner of the copyrighted work that is allegedly infringed;
- Identification of the copyrighted work claimed to have been infringed;
- Identification of the material that is claimed to be infringing and where it is located on the Platform;
- Your contact information, including your address, telephone number, and email address;
- A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
- A statement, made under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner.
We reserve the right to remove or disable access to any content alleged to be infringing and may terminate the accounts of repeat infringers in appropriate circumstances.
14.2 Blogs, Affiliate Links, and Third-Party Monetization
The Platform may permit Group Leaders to publish blog posts, articles, or other editorial content that may include links to third-party products or services, including affiliate or referral links (“Affiliate Links”).
Group Leaders are solely responsible for: (a) the accuracy and legality of such content; (b) compliance with all applicable advertising, consumer protection, and disclosure laws (including FTC endorsement and affiliate disclosure requirements); and (c) any relationship with third parties referenced or linked.
Snap Voyagers does not endorse, verify, or guarantee any third-party products, services, or offers referenced through Affiliate Links and assumes no responsibility for transactions, losses, or disputes arising from them. Use of Affiliate Links does not create an agency, partnership, or joint venture relationship between Snap Voyagers and any Group Leader or third party.
Snap Voyagers may remove or restrict blog content or Affiliate Links that are misleading, non-compliant, unsafe, or inconsistent with Platform policies.
14.3 Social Media Distribution; API Posting; Paid Ads
Snap Voyagers may, with your permission as described in these Terms, distribute certain User Content (including Journey listings, photos, videos, captions, reviews excerpts, and related metadata) to third-party social media platforms and advertising networks (including by using APIs) for the purpose of marketing and promoting Journeys and the Platform (“Social Distribution”).
Social Distribution may include organic posts and paid advertisements. Snap Voyagers may format, crop, resize, add captions, translate, or otherwise make non-material adaptations to User Content for platform-specific requirements, while making reasonable efforts to preserve the integrity of the content.
Permissions and controls. Where required by applicable law or platform policy, Snap Voyagers will obtain any required permissions or consents before using User Content in paid ads, and may provide opt-out mechanisms for certain promotional uses. Group Leaders remain responsible for ensuring they have the necessary rights to any content they submit (including third-party photos, music, trademarks, or likenesses) and for obtaining model/property releases where required. Snap Voyagers has no obligation to, and does not, verify that Group Leaders have obtained such rights or releases.
Third-party terms. Social media platforms and ad networks are independent third parties. Your use of those services is governed by their terms and privacy policies. Snap Voyagers does not control third-party platform moderation, takedowns, reach, performance, or policies.
No endorsement. Social Distribution does not imply endorsement by, or affiliation with, any social media platform or advertiser unless expressly stated.
15. Prohibited Conduct; Safety
Users must not engage in fraud, harassment, discrimination, threats, unsafe conduct, or illegal activity. We may remove content, suspend accounts, or cancel bookings to protect safety and compliance.
15.1 Reviews, Ratings, and Feedback
The Platform may allow Users to post reviews, ratings, and feedback. Reviews must be truthful and based on genuine experiences. We may remove or restrict content that violates these Terms, is unlawful, is defamatory, is fraudulent, or is otherwise inappropriate. Snap Voyagers does not guarantee the accuracy of reviews and does not endorse any User or Journey.
15.2 Verification; Background Checks (If Offered)
Snap Voyagers may (but is not obligated to) offer identity verification, credential checks, or other screening measures. Any such measures are limited and do not guarantee a User’s identity, qualifications, fitness, or safety. Users remain responsible for their own decisions and due diligence.
16. Taxes; Reporting
Users are responsible for applicable taxes. Snap Voyagers may collect tax info (e.g., W‑9/W‑8), withhold amounts as required by law, and issue informational reporting (e.g., IRS Forms 1099). Snap Voyagers may collect/withhold/remit taxes where required or as a business decision.
17. Disclaimers
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” SNAP VOYAGERS DISCLAIMS ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW. SNAP VOYAGERS DOES NOT GUARANTEE JOURNEY OUTCOMES, WEATHER, SAFETY CONDITIONS, OR THIRD‑PARTY PROVIDER PERFORMANCE. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK. THE PLATFORM AND ALL CONTENT AND SERVICES PROVIDED THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, SNAP VOYAGERS, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS (COLLECTIVELY, THE “SNAP VOYAGERS PARTIES”) EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
THE SNAP VOYAGERS PARTIES MAKE NO WARRANTY THAT: (A) THE PLATFORM WILL MEET YOUR REQUIREMENTS; (B) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE; OR (D) THE QUALITY, SAFETY, OR LEGALITY OF ANY JOURNEYS, CONTENT, OR SERVICES PURCHASED OR OBTAINED BY YOU THROUGH THE PLATFORM WILL MEET YOUR EXPECTATIONS. SNAP VOYAGERS DOES NOT GUARANTEE JOURNEY OUTCOMES, WEATHER, SAFETY CONDITIONS, OR THIRD-PARTY PROVIDER PERFORMANCE.
ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE PLATFORM IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
WE ARE NOT RESPONSIBLE FOR AND DISCLAIM ALL LIABILITY ARISING FROM THE CONDUCT OF ANY USERS OF THE PLATFORM, WHETHER ONLINE OR OFFLINE. YOU ARE SOLELY RESPONSIBLE FOR ALL OF YOUR COMMUNICATIONS AND INTERACTIONS WITH OTHER USERS.
SNAP VOYAGERS IS NOT LIABLE FOR THE JUDGMENT, ACTS, OR OMISSIONS OF ANY GROUP LEADER, INCLUDING ANY DECISION TO COMMENCE OR CONTINUE A JOURNEY IN CONDITIONS THAT A TRAVELER MAY PERCEIVE AS UNSAFE.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SNAP VOYAGERS IS NOT LIABLE FOR ACTS OR OMISSIONS OF GROUP LEADERS OR THIRD‑PARTY PROVIDERS. SNAP VOYAGERS’ TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID TO SNAP VOYAGERS BY YOU IN THE 12 MONTHS BEFORE THE EVENT OR (B) US $100, UNLESS APPLICABLE LAW REQUIRES OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, THE SNAP VOYAGERS PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR RELATING TO: (A) THE USE OR THE INABILITY TO USE THE PLATFORM; (B) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES; (C) ANY JOURNEYS OR SERVICES BOOKED OR OBTAINED THROUGH THE PLATFORM; (D) ANY ACTS, OMISSIONS, OR CONDUCT OF ANY USER OR THIRD PARTY, INCLUDING ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT; OR (E) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SNAP VOYAGERS PARTIES ARE NOT RESPONSIBLE FOR, AND SHALL HAVE NO LIABILITY ARISING OUT OF, ANY ACTS OR OMISSIONS OF GROUP LEADERS OR THIRD‑PARTY PROVIDERS. IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF THE SNAP VOYAGERS PARTIES TO YOU FOR ALL CLAIMS, DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THE PLATFORM, THESE TERMS, OR ANY JOURNEY EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO SNAP VOYAGERS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US $100), UNLESS A DIFFERENT AMOUNT IS REQUIRED BY APPLICABLE LAW.
THE LIMITATIONS SET FORTH IN THIS SECTION WILL APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, WHETHER CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
19. Indemnification
You agree to defend, indemnify, and hold harmless the Snap Voyagers Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (except to the extent caused by Snap Voyagers’ gross negligence or willful misconduct), including, without limitation, reasonable attorneys’ fees, arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your User Content; (c) your booking or participation in a Journey (if a Traveler), or your listing or operation of a Journey (if a Group Leader); (d) your breach of these Terms; (e) your violation of any applicable law or regulation; or (f) your violation of any third-party right, including any intellectual property right or right of privacy. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.
20. Privacy & Cookies
Your privacy is important to us. Our collection, use, and disclosure of personal information in connection with the Platform are described in our Privacy Policy, available here [LINK TO PRIVACY POLICY], which is incorporated by reference into these Terms and may be updated from time to time. By using the Platform, you consent to our handling of your information as described in the Privacy Policy. The Privacy Policy explains, among other things, how we use cookies and similar technologies, how we process personal data for users worldwide (including users in the EEA, UK, and Switzerland), and the rights such users may have under applicable data protection laws (such as GDPR and UK GDPR).
21. EU/UK Data Addendum
If you are in the EEA/UK/Switzerland, Snap Voyagers processes personal data under GDPR/UK GDPR principles and you may have rights to access, correct, delete, object, restrict processing, and data portability, subject to applicable law. Cross‑border transfers may rely on appropriate safeguards where applicable.
Our Privacy Policy describes our practices for handling personal data for users worldwide, including those in the European Economic Area (EEA), United Kingdom (UK), and Switzerland, and outlines the rights available to them under applicable data protection laws (such as the General Data Protection Regulation (GDPR) and UK GDPR), as well as how we handle cross-border data transfers where applicable.
22. Dispute Resolution; Arbitration
PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS. BY AGREEING TO THESE TERMS, YOU AND SNAP VOYAGERS AGREE THAT, WITH LIMITED EXCEPTIONS, ANY DISPUTES ARISING BETWEEN YOU AND SNAP VOYAGERS WILL BE RESOLVED THROUGH BINDING ARBITRATION ON AN INDIVIDUAL BASIS, RATHER THAN IN COURT OR AS PART OF ANY CLASS OR REPRESENTATIVE ACTION.
22.1. Informal Resolution
Before commencing arbitration, you agree to first contact Snap Voyagers at [LEGAL DISPUTES EMAIL] and attempt in good faith to resolve your dispute informally. Most user concerns can be resolved quickly and to the user’s satisfaction through our support and escalation processes. If we are unable to resolve a dispute informally within thirty (30) days after your notice is received, either you or Snap Voyagers may proceed to arbitration as set forth below.
22.2. Agreement to Arbitrate
Except for (a) individual disputes that may be brought in small claims court if they qualify, and (b) claims seeking injunctive or other equitable relief to prevent actual or threatened misuse or infringement of intellectual property or confidential information, any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, any Journey, or the relationship between you and Snap Voyagers (collectively, “Disputes”) shall be resolved by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. The arbitration shall be conducted before a single arbitrator, in the English language, and shall take place in Travis County, Texas, unless the parties mutually agree to a different location or to remote proceedings. Judgment on the arbitration award may be entered in any court having jurisdiction.
22.3. Class Action and Jury Trial Waiver
You and Snap Voyagers agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding. To the maximum extent permitted by law, you and Snap Voyagers each waive any right to a jury trial. If this class action waiver is found to be unenforceable with respect to any particular claim or remedy, then that claim or remedy (and only that claim or remedy) must be severed from arbitration and may be brought in court, subject to Section 23 (Governing Law).
22.4. Time Limitation on Claims
To the fullest extent permitted by applicable law, any Dispute must be filed within one (1) year after the cause of action accrues, or such Dispute is permanently barred. This limitation period applies to all Disputes between you and Snap Voyagers, regardless of the forum in which they are asserted.
23. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict‑of‑law principles, except where applicable law requires otherwise. Subject to Section 22, any legal action or proceeding arising out of or relating to these Terms or the Platform that is not subject to arbitration shall be brought exclusively in the state or federal courts located in Travis County, Texas, and you and Snap Voyagers hereby irrevocably consent to the personal jurisdiction and venue of such courts.
24. Changes; Notices; Contact
We may update these Terms from time to time. If we make material changes, we will provide you with notice of such changes, such as by sending an email or posting a prominent notice on the Platform, and we may also update the “Last Updated” date at the top of these Terms. Unless we say otherwise in our notice, the amended Terms will be effective immediately when posted, and your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the amended Terms, you must stop using the Platform. Unless otherwise specified, any notices or other communications to Users permitted or required under these Terms will be in writing and given by Snap Voyagers via email, by posting to the Platform, or through any other contact method we have on file for you. Any legal notices to Snap Voyagers must be sent by certified mail to [MAILING ADDRESS] with an electronic copy to [CONTACT EMAIL].
