This Agreement governs travel services provided by the Operator and is separate from the Snap Voyagers marketplace operated by VTX, LLC. Template Notice. This Operator Agreement is provided as a template for convenience only. It must be reviewed and customized by the Operator’s legal counsel before use. Snap Voyagers (VTX, LLC) is not a party to this Agreement.
1. Parties
This Operator Agreement (the "Agreement") is entered into between Snap Voyagers Expeditions, LLC, a Texas limited liability company ("Operator," "we," "us," or "our"), and each individual identified as a "Traveler" in Exhibit A ("Traveler," "you," or "your").
2. Journey Details; Incorporation by Reference
The specific Journey details (including destination(s), dates, pricing, inclusions/exclusions, group size, and the list of Travelers) are set forth in Exhibit A (Journey Details). Exhibit A is incorporated by reference into and made a material part of this Agreement.
If there is any conflict between the terms of this Agreement and Exhibit A, this Agreement controls unless Exhibit A expressly states that a specific term in Exhibit A is intended to override a specified section of this Agreement.
3. Relationship to Snap Voyagers Marketplace
3.1 Independent entities
Operator is an independent travel operator. VTX, LLC d/b/a Snap Voyagers ("Snap Voyagers") operates an online marketplace and payment facilitation platform only.
3.2 Marketplace is Not a Party
Snap Voyagers is not a party to this Agreement, does not operate Journeys, and does not assume responsibility for Operator’s services. This Agreement governs the direct legal relationship solely between Operator and Traveler. All payments made through the Snap Voyagers marketplace are processed under and subject to Snap Voyagers’ Marketplace Terms of Service, but the underlying travel services and obligations between Operator and Traveler are governed exclusively by this Agreement.
4. Journeys and Services
Operator designs, markets, and operates photography-focused travel itineraries ("Journeys"), including selection of destinations, activities, accommodations, and third-party providers. Operator will use commercially reasonable efforts to deliver the Journey substantially as described in this Agreement and Exhibit A, subject to weather, safety, availability, and other practical constraints and to the conditions and modifications permitted herein.
4.1 Itinerary Changes; Substitutions
Traveler acknowledges that activities in the itinerary are subject to change. Operator may make reasonable changes to the itinerary, activities, lodging, transportation, and timing due to weather, safety, availability, governmental actions, political or environmental conditions, or other operational needs. Operator will use commercially reasonable efforts to provide comparable substitutions where practicable. Any such reasonable change will not be considered a breach of this Agreement or, by itself, entitle Traveler to a refund, provided the overall quality and primary purpose of the Journey remain substantially intact.
4.2 Force Majeure
Operator is not responsible for any failure, delay, or non-performance of its obligations under this Agreement, or any modification, shortening, or cancellation of the Journey, caused by events beyond Operator’s reasonable control, including but not limited to severe weather, natural disasters, civil unrest, public health events, governmental actions, strikes, transportation disruptions, or third-party supplier failures (each, a “Force Majeure Event”). Any failure, delay, modification, shortening, or cancellation of the Journey resulting from a Force Majeure Event will not be deemed a breach of this Agreement by Operator and will not, by itself, give rise to any liability or damages. Operator may cancel, postpone, or reasonably alter the itinerary where it determines, in its reasonable discretion, that a Force Majeure Event affects the safety, feasibility, or legality of operating the Journey as originally planned. Refunds and credits, if any, will follow the applicable cancellation terms disclosed at booking and/or set forth in Exhibit A and will be limited to funds actually recoverable by Operator from its third-party suppliers.
5. Journey Leaders
5.1. Independent Contractor Status
Operator may engage one or more independent contractors, guides, or leaders (each, a "Journey Leader") to lead or assist with Journeys. Journey Leaders are independent contractors of Operator and are not employees, agents, or representatives of Snap Voyagers. Operator is solely responsible for selection, supervision, compensation, and conduct of Journey Leaders.
5.2. Legal and Regulatory Compliance
Operator represents and warrants that it will comply with all applicable local, state, national, and international laws and regulations in connection with operating the Journey, including obtaining and maintaining all required business licenses, permits, permissions, and authorizations for the destinations listed in Exhibit A. Operator is solely responsible for ensuring that its services and the conduct of its Journey Leaders comply with such laws.
5.3 Affiliate Links and Third-Party Recommendations
Operator and/or Journey Leaders may recommend or link to third-party products or services (including camera gear, travel accessories, software, or accommodations), which may include affiliate or referral links. Any such links are provided for informational purposes only. Operator makes no warranties regarding third-party offerings and is not responsible for products, services, pricing, fulfillment, or disputes arising from third-party transactions. Where affiliate relationships exist, Operator is responsible for making any legally required disclosures to Travelers and for complying with applicable advertising and consumer protection laws.
6. Pricing, Inclusions, and Exclusions
Journey pricing and inclusions/exclusions are disclosed in Exhibit A and at booking. Unless expressly stated otherwise in Exhibit A, prices do not include airfare to and from the destination, travel insurance, personal expenses, optional activities, alcoholic beverages, visa fees, tips, or equipment. Operator reserves the right to correct obvious pricing errors in Exhibit A or on any booking platform and will notify Traveler of any such correction.
6.1 Accommodations; Rooming; Single Supplement
Lodging arrangements are described in Exhibit A. Unless stated otherwise, prices assume double occupancy. Travelers requesting a private room may be charged a “Single Supplement” fee at an additional cost. If shared rooms are used, Operator may match roommates, but makes no guarantee of roommate compatibility.
6.2 Companions and Non-Participant Guests
If a Traveler brings a companion who is not participating in photography instruction or planned activities, the companion must still comply with Operator rules and safety guidance and may be required to sign the same or a separate agreement/waiver. Exhibit A should specify the companion’s pricing, inclusions/exclusions, and whether the companion may join group activities, transportation, meals, and location access.
7. Payments and Refunds
Payments for the Journey are owed to Operator. Payments may be collected through the Snap Voyagers marketplace as Operator’s limited payment agent pursuant to the Marketplace Terms of Service. Payment to Snap Voyagers satisfies Traveler’s payment obligation to Operator. Cancellations and refunds are governed exclusively by the Journey-specific cancellation terms disclosed on the Snap Voyagers marketplace at the time of booking (the "Journey Cancellation Terms") and, if summarized, in Exhibit A to this Agreement. In the event of any inconsistency between a summary in Exhibit A and the Journey Cancellation Terms published on the marketplace at the time of booking, the Journey Cancellation Terms published on the marketplace will control. Refunds are not guaranteed and are strictly limited by the Journey Cancellation Terms and by any non-refundable deposits, fees, or other costs incurred by Operator from its third-party suppliers (including without limitation accommodations, transportation, permits, and activity providers). Traveler acknowledges that certain components of the Journey may be partially or fully non-refundable and that any refund or credit, if offered, may be less than the total amount paid.
7.1 Minimum Group Size; Operator Cancellation
Journeys may require a minimum number of participants as specified in Exhibit A. If the minimum is not met, Operator may, in its sole discretion, cancel the Journey. In such an event, Operator will provide refunds or credits as described in the Journey Cancellation Terms and/or Exhibit A, subject to any non-refundable third-party components. Operator’s liability for an Operator‑initiated cancellation under this Section is limited to the return of amounts paid by Traveler for the Journey. Operator is not responsible for any other costs incurred by Traveler, including without limitation airfare, visa or passport fees, or other independently purchased arrangements, unless expressly stated otherwise in writing.
8. Assumption of Risk
Traveler understands and acknowledges that travel, photography activities, and outdoor environments involve inherent and other risks, dangers, and hazards, many of which are beyond the Operator’s control. These include, but are not limited to, injury, illness (including from communicable disease), death, property loss or damage, weather conditions, difficult terrain, transportation accidents, encounters with wildlife, lack of access to or poor quality of emergency medical services, political instability, civil unrest, crime, and acts or omissions of third-parties. Traveler knowingly and voluntarily assumes all such risks, both known and unknown, associated with participation in a Journey, and, to the maximum extent permitted by applicable law, hereby releases and discharges Operator from any and all claims and liability for loss, damage, injury, or death arising out of or relating to these inherent and assumed risks.
9. Traveler Fitness and Responsibility
Traveler represents that they are physically and mentally fit to participate, in the Journey and have consulted with a medical professional, if necessary. Traveler agrees to disclose to Operator in writing, prior to the Journey, any physical, medical, or mental conditions that may require special attention or accommodation, and acknowledges that failure to provide accurate and complete information may result in limitations on Traveler’s participation or removal from certain activities. Operator may require completion of medical forms, waivers, or releases prior to departure. Determinations of Traveler fitness to participate are made solely by Operator and/or its Journey Leaders, By providing any medical or health information, Traveler explicitly consents to Operator’s collection, use, and processing of such sensitive personal data for the purposes of assessing Journey fitness and ensuring Traveler safety. Traveler further consents to the transfer of this information to Journey Leaders, emergency medical personnel, and other necessary third parties, who may be located outside of Traveler’s home country, in connection with the Journey or a medical emergency.
9.1 Emergency Medical Authorization
In an emergency, Traveler authorizes Operator and its Journey Leaders to obtain or assist in obtaining medical care for Traveler as they deem necessary, and to share relevant medical information with medical providers, emergency contacts, insurers, and authorities as reasonably necessary for treatment and safety. Traveler is responsible for medical costs except where prohibited by law. Traveler is responsible for all costs associated with such medical care and any related transportation or evacuation, except where prohibited by applicable law. Operator does not provide medical advice or services and makes no warranty as to the quality of any medical care obtained from third-party providers.
10. Traveler Conduct and Removal
Traveler must follow all safety instructions and behave respectfully. Operator reserves the right, in its sole discretion, to remove any Traveler whose conduct is deemed unsafe, disruptive, irresponsible, or unlawful, or otherwise materially interferes with the safety, comfort, or enjoyment of the group. Any such removal will be at the Traveler’s sole expense and without any right to a refund for unused services, except where prohibited by applicable law.
11. Photography, Media, and IP Rights
11.1. Traveler-Owned Content
Traveler retains ownership of the copyrights in their photographs and videos created during the Journey ("Traveler Content"). For any Traveler Content that you submit or make available to Operator (including by sharing files directly with Operator or by posting on social media using Journey-specific hashtags identified by Operator), Traveler grants Operator a non-exclusive, transferable, sublicensable, royalty-free, perpetual, and irrevocable worldwide license to use, reproduce, display, distribute, and create derivative works of such Traveler Content, in any and all media, for Operator's marketing, promotion, and documentation of Journeys. Nothing in this Section 10.1 limits your right to use, license, or otherwise exploit your own Traveler Content.
11.2. Operator-Owned Content
Operator and its Journey Leaders may take photographs and create video or audio recordings during the Journey. Operator shall be the sole and exclusive owner of all rights, title, and interest, including all copyrights, in and to such photographs and recordings ("Operator Content").
11.3. Likeness Release
To the extent permitted by law, Traveler grants Operator a non-exclusive, worldwide, royalty-free, perpetual right to use Traveler’s name, likeness, image, voice, and appearance as captured in any Operator Content and in any Traveler Content that Traveler submits or otherwise makes available to Operator for promotional use during or in connection with the Journey in photos/videos created by Operator or its Journey Leaders for Operator’s marketing and promotional purposes, in any media now known or later developed, without further consent or compensation, except where applicable law requires separate consent or permits Traveler to withdraw consent. unless Traveler opts out in writing before the Journey or where applicable law requires separate consent.
12. Insurance
Operator maintains commercially reasonable insurance for its activities, including general liability and any legally required coverages. Traveler is required to obtain and maintain personal travel, medical, and equipment insurance for the entire duration of the Journey. Such coverage should include, at a minimum, medical expenses, emergency medical evacuation and repatriation, trip cancellation or interruption, and loss of baggage or personal effects. Operator’s insurance does not cover Traveler’s personal risks, property, or medical needs. Operator may request reasonable proof of Traveler’s insurance prior to departure.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPERATOR AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, AND JOURNEY LEADERS (THE "OPERATOR PARTIES") ARE NOT LIABLE FOR ACTS OR OMISSIONS OF THIRD-PARTY PROVIDERS AND OPERATOR IS NOT RESPONSIBLE FOR ANY LOSSES OR ADDITIONAL EXPENSES DUE TO THE FINANCIAL DEFAULT, INSOLVENCY, OR BANKRUPTCY OF ANY THIRD-PARTY PROVIDER. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE OPERATOR PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOSS OF DATA, LOSS OF ENJOYMENT, OR EMOTIONAL DISTRESS, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE JOURNEY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, THE OPERATOR PARTIES’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE JOURNEY OR THIS AGREEMENT WILL NOT EXCEED THE LESSER OF (A) THE AMOUNT PAID BY TRAVELER TO OPERATOR FOR THE JOURNEY OR (B) US $5,000, EXCEPT WHERE APPLICABLE LAW PROHIBITS SUCH LIMITATION.
13.1 Time Limit to Bring Claims
To the extent permitted by law, any claim or cause of action must be brought within one (1) year after the event giving rise to the claim, or it is permanently barred.
14. Indemnification
Traveler agrees to defend, indemnify and hold harmless Operator its affiliates, directors, employees, agents, and Journey Leaders (collectively, the "Operator Parties") from and against any and all claims arising out or in connection with of Traveler’s participation in the Journey, conduct, breach of this Agreement, violation of any law or regulation in any country visited, or provision of false, incomplete, or misleading medical information, except to the extent caused by the gross negligence or willful misconduct of an Operator Party.
15. Governing Law and Dispute Resolution
15.1. Governing Law and Venue
This Agreement and any dispute arising from or relating to it shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law provisions. The exclusive venue for any legal action arising out of or relating to this Agreement that is not subject to arbitration under Section 14.2 shall be the state and federal courts located in Travis County, Texas.
15.2. Arbitration Agreement
Except for individual claims that may be brought in small claims court if they qualify, any dispute, claim, or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this Agreement to arbitrate, shall be resolved by final and binding arbitration in Travis County, Texas before a single arbitrator. The arbitration shall be administered by the American Arbitration Association ("AAA") pursuant to its Consumer Arbitration Rules then in effect, and shall be conducted in the English language. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction, including the courts specified in Section 15.1. This clause shall not preclude either party from seeking provisional or interim remedies in aid of arbitration from a court of appropriate jurisdiction. The allocation of arbitration fees and costs shall be governed by the applicable AAA rules.
15.3. Waiver of Jury Trial and Class Action
BY ENTERING INTO THIS AGREEMENT, YOU AND OPERATOR ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION. YOU AND OPERATOR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
16. Compliance with Laws
Operator is solely responsible for identifying and complying with all applicable laws, rules, and regulations in any jurisdiction where it operates or sells travel, including but not limited to any applicable seller-of-travel (SOT) laws, business licensing, bonding, and trust account requirements.
17. Entire Agreement
This Agreement (including Exhibit A) constitutes the entire agreement between Operator and Traveler regarding the Journey and supersedes all prior or contemporaneous discussions, negotiations, or understandings, whether oral or written. No amendment or modification of this Agreement will be binding unless in writing and signed by both parties.
18. Severability
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
